Affiliate Terms and Conditions

These Affiliate terms and conditions relate to the Affiliate Programme for the Alice Caroline Sew Along Festival launching on 10 May 2025. By signing up to the Programme on our website the Affiliate is deemed to accept these terms and conditions.

“Affiliate” means an individual or business generating their own traffic and thus rewarded for legitimate sales made of the Alice Caroline Sew Along Festival. Affiliates are not considered employees of Alice Caroline Limited and are deemed responsible for all taxation, National Insurance or VAT relating the commissions earnt through this Programme.

TERMS OF THE AGREEMENT:

The term of this Agreement will begin upon our acceptance of Your Affiliate Programme registration.

You are only eligible to earn Commission Fees on the sale of “Alice Caroline Sew Along Festival” occurring during the term of the Programme, and Commission Fees will remain payable only if the orders for the Programme are not cancelled and comply with all terms laid out in this agreement. No fees are payable on other purchases made by referred customers.

Affiliates are responsible for ensuring they comply with all laws and regulations relating to affiliated marketing, Privacy, Data Protection and GDPR in connection with this Programme.

Any Affiliate who violates either this Agreement, the Company’s Terms and Conditions or of any applicable law or regulation having the force of law will immediately forfeit any right to any and all accrued Commissions Fees and will be removed from the Company Affiliate Programme.

AFFILIATE PAYMENT:

Net commission rate: 36%

Gross commission rate: 30%

You will earn commission for directing authorised sales of Sewing Event tickets to Alice Caroline Limited through your links. Commission is calculated at the net commission rate based on the net sales value of the ticket. Since all sales are subject to UK VAT, your commission will effectively be the gross commission rate applied to the total sales value, before VAT is deducted.

You are eligible to earn Affiliate Commission on the sale of Sewing Event tickets occurring during the term of the Programme. Affiliate Commission will remain payable only if the related orders are not cancelled or refunded and comply with all terms laid out in this agreement. No fees are payable on other purchases made by referred customers.

Affiliate Commission payable will be calculated from Google Analytics data downloaded for the period. Your unique affiliate number (assigned through our website’s Affiliate Information page) will be used to identify the number of ticket sales made in the period.

Commission due will be paid quarterly, with quarter ends being 30 June, 30 September, 31 December and 31 March. We will produce a commission report for you, detailing the number of tickets sold in the period. You will receive the commission statement and commission payment from Alice Caroline Limited within 30 days of the quarter end.

CONFIDENTIALITY:

All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during the effective term of this Agreement, will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.
You agree to keep all information related to this Sewing Event strictly confidential until the launch date and to maintain confidentiality regarding the terms of this Agreement indefinitely.

PARTICIPATION IN THE ALICE CAROLINE SEW ALONG FESTIVAL:

As an Affiliate of this Programme you may have the opportunity to participate in the Facebook Page or in the live presentations. In participating in such forums, you acknowledge that you are acting as an individual and not as a representative of Alice Caroline Ltd., and you agree to conduct yourself in a professional and responsible manner.

TERMINATION OF AGREEMENT:

Termination by Either Party

Either party may terminate this Agreement by providing written notice to the other party within the following timeframes:

From the date of this Agreement until the Launch Date (10th May 2025), at least 7 days’ written notice;

From the Launch Date (10th May 2025) until the end of the Sewing Event (25th June 2025), at least 28 days’ written notice;

After the Sewing Event (25th June 2025) and up to the Programme End Date (25th December 2025), at least 7 days’ written notice.

Automatic Termination

This Agreement shall automatically terminate on the Programme End Date (25th December 2025), unless otherwise extended in writing by both parties.

Rights to use materials provided, in the event of Termination

If Alice Caroline Ltd terminates this Agreement, we forfeit the right to use your project (including, but not limited to, video content, patterns, related materials, and recorded interviews) in the Sewing Event, regardless of whether any fees or commissions have been paid.

If you terminate this Agreement after submitting your project (including, but not limited to, video content, patterns, related materials, and recorded interviews) and we have already paid your Design Fee, we retain an exclusive, indefinite right to use this content for the Sewing Event. You retain intellectual ownership of the original content and teaching materials you provide but grant us an exclusive, irrevocable, worldwide licence to use the submitted content indefinitely.

Intellectual Property Rights

After 6 months from the Sewing Event’s end date (25th June 2025), if your services included a creative project, you may sell the content, pattern, and related materials but may not distribute them for free.
You retain intellectual ownership of the original content and teaching materials you provide but grant us an exclusive, irrevocable, worldwide licence to use the submitted content indefinitely.
